Gemini Submits Confidential S-1 Filing in Anticipation of IPO

Crypto exchange Gemini has taken a key step toward an initial public offering, filing a confidential draft registration statement with the SEC. The June 6 submission follows a resurgence in investor confidence as macroeconomic uncertainties subside.

The Winklevoss-founded firm, which raised $400 million at a $7.1 billion valuation in 2021, has not yet disclosed share pricing or offering size. The confidential S-1 filing allows Gemini to keep sensitive financial data private until closer to the IPO date.

Despite past regulatory challenges—including SEC allegations over its “Earn” program—Gemini appears poised to test public markets amid a recovering crypto landscape.
